Who you're dealing with
These Terms govern your use of Praatbox. The provider is Kaya Core, Inc. (the legal owner of the Praatbox product). For brevity, 'Praatbox', 'we', and 'us' refer to Kaya Core, Inc. acting through the Praatbox product.
If you sign up on behalf of an organisation you confirm you have the authority to bind that organisation to these Terms.
The deal
Praatbox provides an embeddable AI chat widget, a hosted API, and a customer dashboard. Each plan (Starter, Professional, Business) is described on the Pricing page and is delivered as a subscription billed in advance, monthly or annually, via Stripe.
You may cancel at any time from the dashboard; cancellation stops the next renewal. We may suspend or terminate accounts that breach these Terms with reasonable notice, or immediately for severe breach (security risk, illegal use, non-payment).
Plans, billing, and refunds
Plan prices are listed in euros, exclusive of any applicable VAT or sales tax. Stripe handles all card processing; we never see card numbers. EU payment methods include card, SEPA, and iDEAL (NL); Wero is supported where available.
Annual plans are non-refundable on cancellation, but you keep access through the end of the paid period. Monthly plans cancel at the end of the current billing cycle.
If a charge is the result of a clear billing error on our side, contact [email protected] and we will refund the disputed amount within 14 days.
We may change plan pricing with 30 days' written notice to active customers; the new price takes effect on the next renewal after the notice period.
Data and ownership
You own your customer data — account information, knowledge-base content, and conversation transcripts processed through your license. We act as your processor for the visitor data flowing through the widget; the data processing terms are in our DPA (praatbox.com/dpa), which is incorporated into these Terms by reference for paying customers.
We claim no rights over the content of your conversations. We do not use it to train models (see Privacy Policy §AI training).
AI output is best-effort
Praatbox's AI replies are generated by large-language-model inference. They can be wrong, incomplete, or out-of-date. You are responsible for the content the widget produces on your site and for any decisions you or your visitors take based on it.
Do not deploy Praatbox for use cases where an incorrect answer is unsafe (medical advice, legal advice, regulated financial advice) without an explicit human review step in your flow. We are not liable for damages arising from AI output that turned out to be incorrect.
Acceptable use
Use of Praatbox is subject to the following limits, in addition to applicable law:
- No deceptive impersonation of a real person without their consent.
- No PII collection from visitors without proper notice and lawful basis.
- No use to harass, threaten, or unlawfully discriminate against any person.
- No automated abuse of the chat API or attempts to overwhelm our infrastructure.
- No reverse-engineering, scraping, or republishing of the Praatbox product for the purpose of building a competing service.
- No content that violates EU/local law in any jurisdiction where you operate.
- No use as the sole decisioning layer in regulated verticals (healthcare, legal, financial advice) — see AI output.
Uptime
We target 99.9% monthly uptime for the API and dashboard on Professional and Business plans. Real-time status is at status.praatbox.com. Service-credit terms for Business customers are set out in the DPA addendum signed at contract.
Starter is a best-effort tier; we don't offer service credits, but we monitor and aim for parity with Professional.
Liability
To the maximum extent permitted by law, our aggregate liability to you under or in connection with these Terms is limited to the amount you actually paid Praatbox in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including lost revenue or lost data, even if we were advised of the possibility.
This cap does not apply to liability that cannot be limited under applicable law (e.g. wilful misconduct or gross negligence), or to your obligation to pay outstanding fees.
We carry €2,000,000 of product liability insurance.
Indemnity
You will defend, indemnify, and hold Praatbox harmless against third-party claims that arise from your breach of these Terms or your use of Praatbox to violate someone else's rights (e.g. defamatory or infringing content the widget served on your site). Praatbox will defend, indemnify, and hold you harmless against third-party claims that the Praatbox product, as supplied by us and used in accordance with these Terms, infringes a third party's IP rights, capped at the same liability limit set out above.
Force majeure
Neither party is liable for failure to perform caused by events beyond reasonable control (acts of state, war, large-scale internet outages, etc.), provided the affected party gives prompt notice and resumes performance as soon as possible.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Disputes shall be exclusively submitted to the state or federal courts located in Delaware. Nothing in this clause prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.
If you are an EU consumer or business with mandatory rights under your local law (including GDPR), you retain those rights and may invoke them notwithstanding the choice of law above.
Changes
We may update these Terms. Material changes are emailed to account owners at least 30 days in advance and reflected in the 'Last updated' date below. If a change is materially unfavourable to you and you object in writing before the effective date, you may terminate without penalty and we will refund any prepaid amounts for the period after the effective date. Continued use after that date constitutes acceptance.
